Corporate Paralegal – Fund Finance

A leading global law firm is seeking a Corporate Paralegal – Fund Finance for its Los Angeles, Palo Alto, Century City, Orange County, Denver, New York, or Washington, D.C. office. This role provides comprehensive legal and administrative support for a high-volume subscription (capital call) and NAV lending practice, managing closing processes across multiple concurrent financings and reporting to the Transactional Paralegal Supervisor.

Responsibilities include driving closing checklists and working group lists, preparing and tracking signature pages across complex fund structures, coordinating lender KYC/AML requirements and conditions precedent, and managing UCC, tax lien, judgment, and bankruptcy searches (including clearing problem liens). The role also involves ordering good standing certificates across U.S. and offshore jurisdictions, reviewing fund organizational documents to flag provisions relevant to subscription and NAV facilities, leveraging AI tools for document review and diligence matrices, preparing and filing UCC-1/UCC-3 filings, drafting ancillary documents, and supporting closings — including preparing signature packets, coordinating notarization/apostillization, and managing post-closing deliverables and pipeline tracking.

Candidates should have working knowledge of secured lending documentation and UCC perfection mechanics (fund finance experience preferred but not required), strong analytical and communication skills, and the ability to manage a high volume of concurrent transactions. A bachelor’s degree and 5+ years of relevant experience, ideally at an Am Law 100 firm, are preferred; notary certification is a plus. The compensation range is $100,000–$130,000.
